The Companies Act requires all registered entities to confirm active status annually. If annual returns remain unpaid for consecutive years, CIPC places the company in 'Deregistration Process' and eventually 'Final Deregistration'.
Once final deregistration occurs, the entity ceases to exist legally, and all company bank accounts are frozen by financial institutions.
To reinstate your company, submit Form CoR40.5 accompanied by certified director IDs and proof of continuing business operations (e.g. active bank statements, valid contracts, property title deeds).
